2.1 Introduction and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between Amino Development Group LLC, a California limited liability company (“Amino Development Group,” “Company,” “we,” “us,” or “our”), and you (“Buyer,” “Customer,” or “you”). By accessing aminodevelopment.com (the “Site”) or placing any order, you agree to be bound by these Terms in their entirety.

2.2 Nature of Products — Research Use Only
2.2.1 Classification. Amino Development Group LLC sells chemical reagents and research peptide compounds (collectively, “Products”). All Products sold on this Site are classified as research chemicals for in vitro and laboratory research use only.
2.2.2 Not for Human or Animal Use. ALL PRODUCTS SOLD BY AMINO DEVELOPMENT GROUP LLC ARE STRICTLY FOR RESEARCH PURPOSES. THEY ARE NOT APPROVED FOR, AND MAY NOT BE USED FOR, HUMAN CONSUMPTION, ANIMAL CONSUMPTION, CLINICAL USE, THERAPEUTIC USE, DIAGNOSTIC USE, OR ANY IN-VIVO APPLICATION OF ANY KIND. This restriction is absolute and without exception.
2.2.3 No FDA Evaluation. The Products have not been evaluated by the U.S. Food and Drug Administration (FDA). No Product sold on this Site is intended to diagnose, treat, cure, or prevent any disease or medical condition in humans or animals.
2.2.4 Not a Pharmacy. Amino Development Group LLC is a chemical supplier, not a compounding pharmacy, outsourcing facility, or healthcare provider. The Company does not operate under Section 503A or Section 503B of the Federal Food, Drug, and Cosmetic Act (FFDCA), and nothing on this Site shall be construed as a pharmaceutical service.
2.2.5 Research Designators. Certain Products on this Site are referred to by research designators (e.g., GLP-1R, S-Peptide, TZ Peptide, GLP3-R). These designators are used for scientific reference only and do not constitute any claim of therapeutic equivalence, drug identity, or medical use.

2.3 Eligibility and Buyer Representations
By placing an order, you represent, warrant, and covenant to Amino Development Group LLC that:
- You are at least 21 years of age.
- You are a qualified researcher, licensed laboratory professional, or accredited research institution employee with the knowledge and legal authority to purchase, handle, store, and use research chemicals lawfully.
- You are purchasing Products solely for legitimate scientific research conducted in a controlled laboratory environment, and not for human consumption, personal use, or resale to end consumers.
- You possess, or your institution possesses, all licenses, permits, and authorizations required under applicable federal, state, and local law to purchase, receive, possess, and use the Products.
- You understand the potential hazards associated with research chemicals and will handle, store, and dispose of Products in accordance with all applicable safety regulations, including OSHA standards and applicable SDS/Safety Data Sheet guidance.
- You will not resell Products to any individual consumer, patient, or any person intending personal or therapeutic use.
- All information you provide in connection with your order is accurate, complete, and truthful.
- Proper handling, storage, and security of the Products consistent with their hazardous chemical nature;
- Compliance with all applicable federal, state, and local laws governing possession and use of the Products;
- Proper disposal of Products and any waste generated thereby, in accordance with EPA, state, and local environmental regulations;
- Any downstream use, misuse, or redistribution of the Products.
- Refuse or cancel any order or account;
- Restrict access to the Site;
- Terminate any customer relationship;
Any order placed in violation of these representations may be cancelled at the Company’s sole discretion, and the Buyer may be permanently barred from the Site.

2.4 Orders, Title, and Risk of Loss
2.4.1 Order Acceptance. Submission of an order constitutes an offer to purchase. Amino Development Group LLC reserves the right to accept or reject any order at its sole discretion, including for reasons of compliance concern, inability to verify Buyer’s researcher status, or geographic restrictions.
2.4.2 Passage of Title. Title to Products and all risk of loss or damage passes to Buyer upon tender of the Products to the carrier for shipment (F.O.B. origin). From the moment of shipment, the Buyer bears all responsibility for the Products.
2.4.3 Buyer Assumption of Responsibility. Upon receipt of Products, Buyer assumes full and sole responsibility for:

2.5 Right to Refuse Service
Amino Development Group LLC reserves the right, at any time and without notice, to:
for any reason, including but not limited to reasonable suspicion of non-research use, violation of these Terms, chargeback history, fraudulent activity, or failure to meet eligibility requirements.

2.6 No Resale to Consumers
Buyers are expressly prohibited from reselling, redistributing, or transferring Products to any consumer, patient, end user, or any person who intends to use the Products for human or animal consumption, therapeutic use, or any non-research purpose. Any such resale is a material breach of these Terms and may expose the Buyer to civil liability and regulatory enforcement.

2.7 Pricing and Payment
All prices are in U.S. dollars. Amino Development Group LLC reserves the right to adjust prices at any time without notice. Payment is due in full at the time of order placement. We accept payment methods as presented at checkout. By providing payment information, you authorize the Company to charge the full amount of your order, including applicable taxes and shipping fees.

2.8 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMINO DEVELOPMENT GROUP LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH THE USE, MISUSE, HANDLING, STORAGE, OR DISPOSAL OF THE PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY’S TOTAL CUMULATIVE LIABILITY TO ANY BUYER FOR ANY CLAIM ARISING OUT OF THESE TERMS OR ANY ORDER SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT PAID BY BUYER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

2.9 Indemnification
You agree to defend, indemnify, and hold harmless Amino Development Group LLC, its members, managers, officers, employees, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of any Product; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your resale or transfer of Products in violation of Section 2.6; or (e) any third-party claim arising from your possession or use of the Products.

2.10 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

2.11 Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
2.11.1 Informal Resolution. Before initiating arbitration, you agree to contact Amino Development Group LLC at legal@aminodevelopment.com (or wholesalepeptidesource@gmail.com) to attempt to resolve the dispute informally for at least thirty (30) days.
2.11.2 Binding Arbitration. If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in Laramie County, Wyoming, or by remote hearing. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
2.11.3 Class Action Waiver. YOU AND AMINO DEVELOPMENT GROUP LLC EACH AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
2.11.4 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm without waiving the right to arbitrate.

2.12 Intellectual Property
All content on this Site, including but not limited to text, images, product descriptions, graphics, and logos, is the property of Amino Development Group LLC or its content suppliers and is protected by U.S. and international intellectual property laws. Unauthorized use is prohibited.

2.13 Modifications to Terms
Amino Development Group LLC reserves the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of the Site after modifications constitutes acceptance of the revised Terms.

2.14 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
